These Terms of Use (“Terms”) constitute a legally binding agreement between you and Rivvia Sales, LLC (“Rivvia,” “we,” “us,” or “our”) governing your access to and use of the website located at https://www.rivviasales.com/ (the “Site”), together with any affiliated or successor websites, subdomains, mobile or web-based applications, recruiting portals, onboarding systems, lead capture forms, SMS or MMS programs, AI-assisted tools, communication platforms, and any related services, content, or technologies operated, administered, or made available by Rivvia (collectively, the “Services”).

These Terms apply to all forms of interaction with Rivvia, whether conducted online or offline, including but not limited to interactions via the Site, phone calls, text messages, emails, electronic communications, AI-assisted communications, door-to-door interactions conducted by independent contractors, referrals, or any other method through which you engage with Rivvia or its Services.

By accessing, browsing, submitting information through, registering for, or otherwise using the Site or Services—or by communicating or interacting with Rivvia through any electronic, telephonic, digital, or in-person means—you affirmatively acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as all policies incorporated by reference, including Rivvia’s Privacy Policy, SMS/Text Messaging Policy, and TCPA Compliance Policy.

If you do not agree to these Terms, you must immediately discontinue access to and use of the Site and Services and must not submit information to, communicate with, or otherwise interact with Rivvia.
Your continued use of the Site or Services following the posting of any updates or modifications to these Terms constitutes your acceptance of such changes.

2. Eligibility, Capacity & Authority
To access or use the Site or Services, submit information, apply for opportunities, participate in recruiting or onboarding activities, or receive communications from Rivvia, you must:

By accessing the Site or Services, you represent, warrant, and affirm that you meet all eligibility requirements and that any contact information you provide (including telephone numbers and email addresses) belongs to you or that you are the authorized subscriber or customary user.
Rivvia does not knowingly solicit or engage with minors and does not knowingly collect personal information from individuals under the age of 18. If Rivvia becomes aware that information has been submitted by or on behalf of a minor, such information may be deleted without notice.

Rivvia reserves the right, in its sole discretion, to restrict, suspend, or terminate access to the Site or Services if eligibility requirements are not met or if information provided is inaccurate or misleading.

3. Nature, Scope & Limitations of Services
Rivvia Sales, LLC provides a suite of business support services designed to facilitate the recruitment, orientation, training, onboarding, coordination, and operational support of independent contractor sales representatives participating in third-party sales programs, including fiber, telecommunications, internet, and related offerings.

Rivvia’s services may include, without limitation:

3.1 Recruiting & Candidate Engagement

Identification, recruitment, and screening of prospective independent contractor sales representatives

Collection and processing of applications, inquiries, and background information
-
Communication of general opportunity information, expectations, and requirements
-
Coordination of next steps with third-party providers or brand partners
Recruitment activities are informational in nature and do not constitute offers of employment, guarantees of acceptance, or promises of placement.

3.2 Orientation, Training & Onboarding Resources

Orientation programs describing sales processes, compliance expectations, and operational guidelines
-
Training materials, videos, documentation, scripts, and best-practice resources
-
Onboarding support related to system access, account setup, and workflow familiarization
-
Compliance guidance related to sales conduct, consumer protection, and communications
Training and orientation materials are provided solely for educational and operational support purposes and do not constitute certification, licensing, or assurances of performance or success.

3.3 Placement Coordination & Program Access

Coordination of access to sales programs offered by third-party service providers or brand partners

Assignment or availability of sales opportunities based on provider approval, geographic deployment, and market readiness

Communication regarding “live” or serviceable areas identified by third-party providers
Rivvia does not control third-party approval decisions, service availability, installation timelines, customer eligibility, or program continuation.

3.4 Sales Management & Operational Support

Provision of tools, dashboards, applications, or platforms to support sales activity tracking, attribution, and reporting

Operational communications regarding schedules, updates, requirements, or program changes

Support resources for questions related to processes, systems, or compliance
Any sales management or coordination services provided by Rivvia are administrative and operational in nature only and do not constitute supervision, control, or direction of the manner or means by which independent contractors conduct their sales activities.

3.5 Technology, Systems & Communication Tools
Rivvia may utilize or make available various tools and systems, including:

Recruiting portals and onboarding platforms

Sales tracking or attribution tools
-
Communication platforms (SMS, email, phone, AI-assisted messaging)
-
Training libraries or digital resources
Access to such tools is provided to facilitate participation and coordination and may be modified, limited, or withdrawn at Rivvia’s discretion.

3.6 No Guarantees; Performance-Based Nature
All services and materials provided by Rivvia are informational and operational only and do not constitute:

Offers of employment

Guarantees of engagement, placement, or continuation

Assurances of income, commissions, or sales volume
-
Promises of territory exclusivity or lead availability
Rivvia expressly does not guarantee, represent, or warrant:

Employment or contractor acceptance

Placement, assignments, or geographic territories
-
Availability of leads, customers, or serviceable addresses
-
Sales volume, commissions, income, or earnings of any kind
All opportunities are performance-based and depend on numerous factors outside Rivvia’s control, including but not limited to:

Third-party provider approval, rules, and service availability
-
Market conditions, geographic deployment, and infrastructure readiness
-
Individual effort, skill, availability, compliance, and professionalism
-
Consumer demand, conversion rates, and competitive conditions
Any references to earnings, averages, examples, or performance scenarios are illustrative only, are not guarantees, and do not predict future results.

3.7 No Employment, Agency, or Fiduciary Relationship
Nothing in the Site, Services, or materials provided by Rivvia:

Creates an employment relationship

Establishes an agency, partnership, joint venture, or fiduciary duty

Obligates Rivvia to provide work, leads, income, or ongoing opportunities
Independent contractors remain solely responsible for how they conduct their sales activities, subject only to applicable law and the requirements of third-party providers.

4. Independent Contractor Relationship; No Employment, Agency, or Control
Unless expressly set forth in a separate, written independent contractor agreement executed by both parties, all individuals engaged through Rivvia Sales, LLC are independent contractors, not employees.

4.1 Independent Contractor Status
By accessing Rivvia’s recruiting, onboarding, training, placement coordination, sales management tools, or Services, you acknowledge and agree that:

You are acting as an independent contractor (1099)

No employment relationship is created
-
You are not an employee, agent, partner, joint venturer, franchisee, or fiduciary of Rivvia
-
You are not entitled to wages, salary, overtime, benefits, insurance, workers’ compensation, unemployment insurance, or employee protections
Nothing in Rivvia’s materials, communications, tools, or processes shall be interpreted as creating an employer-employee relationship.

4.2 No Control Over Manner or Means of Work
Rivvia does not control, direct, or supervise the manner, means, timing, location, or methods by which independent contractors conduct sales activities, including door-to-door activity.
Independent contractors retain sole discretion over, without limitation:

When and where they work
-
How they approach potential customers
-
Whether, how often, and how long they engage in sales activity
-
Whether to accept or decline participation in any opportunity
Any guidance, training, scripts, tools, or best-practice materials provided by Rivvia are optional, informational, and non-mandatory, and are intended solely to support compliance and operational coordination—not to impose control.

4.3 Orientation, Training & Tools Do Not Create Employment
Rivvia may provide orientation sessions, training resources, onboarding materials, scripts, dashboards, mobile applications, or other tools to support independent contractor participation.
You expressly acknowledge that:

Training and orientation are educational and informational only
-
Use of Rivvia tools is not mandatory employment supervision
-
Tools are provided to facilitate coordination and compliance, not control
-
Access to tools does not create an employment or agency relationship
Independent contractors may choose how, whether, and to what extent they use such materials, subject only to applicable law and third-party provider requirements.

4.4 No Authority to Bind Rivvia or Third Parties
Independent contractors:

Have no authority to bind Rivvia or any third-party provider
-
May not represent themselves as employees or agents of Rivvia
-
May not make promises, guarantees, pricing representations, or contractual commitments on behalf of Rivvia or brand partners
Any unauthorized representations or commitments are made solely by the contractor, outside the scope of Rivvia’s authorization.

4.5 Taxes, Expenses & Legal Compliance
Independent contractors are solely responsible for:

All federal, state, and local taxes

Business licenses, permits, and registrations
-
Insurance, bonding, and certifications
-
Business expenses, including travel, equipment, devices, and marketing
-
Compliance with all applicable laws, including labor, consumer protection, and communications laws
Rivvia does not withhold taxes, provide expense reimbursement, or assume responsibility for contractor compliance failures.

4.6 Placement Coordination Is Not Employment or Assignment
Rivvia may coordinate access to third-party sales programs or identify “live” service areas based on information provided by brand partners.
Such coordination:

Does not guarantee placement, territory, leads, or assignments
-
Does not obligate Rivvia to provide work or opportunities
-
Is subject to third-party approval, availability, and market conditions
Rivvia does not control customer eligibility, installation approval, billing, or service outcomes.

4.7 No Exclusivity; Right to Engage in Other Activities
Unless otherwise agreed in writing:

Independent contractors are not exclusive to Rivvia
-
Contractors may engage in other business activities, including competing opportunities
-
Rivvia does not restrict contractors’ ability to operate independent businesses
4.8 Compliance Responsibility & Unauthorized Conduct
Independent contractors are independently responsible for complying with all applicable laws, including TCPA, consumer protection, and solicitation laws.
Any violation of law or policy by an independent contractor—including unauthorized mass texting, calling, misrepresentation, or non-compliant conduct—is deemed:

Outside the scope of Rivvia’s authorization
-
Not directed, controlled, or ratified by Rivvia
Rivvia expressly disclaims liability for unauthorized contractor conduct.
​
4.9 No Fiduciary Duties
Nothing in the Site or Services creates fiduciary duties, implied obligations, or duties of loyalty between Rivvia and any independent contractor.

5. Communications Consent (TCPA / FCC / A2P 10DLC)
By voluntarily submitting your telephone number, email address, or other contact information through the Site, through a Rivvia application, via a referral, during a door-to-door interaction, or through any other authorized Rivvia channel, you expressly consent to receive communications from Rivvia Sales, LLC, which may include, without limitation:

SMS and MMS text messages
-
Telephone calls, including calls made using automated technology or prerecorded or artificial voice messages, where permitted by law
-
Emails and other electronic communications
-
AI-assisted or automated informational responses, scheduling notices, confirmations, and operational messages
Communications may be sent for recruiting, onboarding, training, operational, compliance, scheduling, support, or informational purposes.

5.1 Consent Scope & Disclosure
You acknowledge and agree that:

Message frequency may vary based on interaction and participation
-
Message and data rates may apply according to your carrier plan
-
Consent is not a condition of purchase, application, employment, contracting, or participation
-
Providing contact information constitutes prior express consent, and where applicable, prior express written consent, consistent with TCPA and FCC requirements
Consent applies only to communications sent by or on behalf of Rivvia through approved systems and does not authorize communications outside the scope of applicable law.

5.2 No Implied or Forced Consent
Rivvia does not rely on implied consent, inferred consent, proximity-based assumptions, or silence as consent.
​
Submission of contact information is voluntary, and individuals may choose not to provide such information without penalty, except where required to complete a requested interaction.
5.3 SMS Opt-Out & Revocation of Consent
You may revoke consent or opt out of SMS communications at any time by reasonable means, including:

Replying STOP to any SMS message

Replying HELP for assistance

Opt-out requests are processed promptly, without charge, and enforced across Rivvia-approved systems in accordance with applicable law.

5.4 Effect of Opt-Out
Upon opt-out or revocation:

Prohibited SMS communications will cease

Your number will be added to appropriate suppression lists

Consent will not be reinstated absent new, valid affirmative consent
Opting out of SMS does not affect your ability to receive non-SMS communications where legally permitted or to access the Site or Services.

5.5 Independent Contractors & Communications Boundaries
Independent contractors affiliated with Rivvia:

Are not authorized to send communications outside Rivvia-approved systems
-
Are not authorized to use personal devices, numbers, or messaging accounts for outreach
-
Are not authorized to ignore, override, or dispute opt-out requests
Any communications sent by an independent contractor outside approved systems or in violation of Rivvia policies are deemed unauthorized and outside the scope of Rivvia’s consent and authorization.

5.6 AI-Assisted & Automated Communications
Rivvia may use automated systems or AI-assisted tools to support communications, including message delivery, routing, confirmations, and standardized informational responses.
Such systems:

Operate under defined rules and controls
-
Do not override consent, opt-out, or suppression mechanisms
-
Do not make legal, hiring, compensation, or eligibility determinations
AI-assisted communications are treated as communication tools only, not decision-makers.

5.7 Policy Incorporation & Supremacy
This Section is governed by and incorporates by reference Rivvia’s:

In the event of any inconsistency, the more restrictive requirement shall apply.

6. Acceptable Use; Prohibited Conduct
Access to and use of the Site, Services, applications, tools, systems, and communications provided by Rivvia Sales, LLC is permitted solely for lawful, authorized, and compliant purposes. You agree to use the Site and Services in a manner consistent with these Terms, all incorporated policies, and applicable law.

6.1 General Use Obligations
You agree that you will:

Provide accurate, current, and truthful information when submitting applications, forms, or inquiries

Use the Site and Services only for their intended business purposes

Comply with all applicable federal, state, and local laws, including consumer protection, communications, and solicitation laws

Follow all published Rivvia policies, including the Privacy Policy, SMS Policy, and TCPA Policy
6.2 Prohibited Misrepresentation & Apparent Authority
You may not, directly or indirectly:

Represent yourself as an employee, agent, partner, or authorized spokesperson of Rivvia or any third-party brand
-
Make promises, guarantees, pricing claims, service commitments, or representations not expressly authorized
-
Hold yourself out as having authority to bind Rivvia or any brand partner
-
Misstate the nature of Rivvia’s role, services, or relationship to third-party providers
Any such conduct is unauthorized and outside the scope of Rivvia’s consent or authorization.

6.3 Communications & TCPA-Related Prohibitions
You may not:

Send calls, texts, emails, or messages without valid consent
-
Engage in mass texting, auto-dialing, or bulk outreach outside Rivvia-approved systems
-
Use personal phone numbers, devices, email accounts, or messaging apps for Rivvia-related outreach
-
Ignore, delay, or override STOP, opt-out, or do-not-contact requests
-
Attempt to bypass carrier filtering, suppression lists, or compliance controls
Any unauthorized communications activity is deemed outside the scope of Rivvia’s authorization.

6.4 Technology, Systems & App Use
You may not:

Access, use, or attempt to access Rivvia systems without authorization
-
Share login credentials, accounts, or system access with others
-
Circumvent security features, usage limits, or safeguards
-
Reverse engineer, scrape, harvest, copy, or extract data from the Site or systems
-
Introduce malware, scripts, bots, or automated processes not expressly approved
Rivvia reserves the right to monitor usage for security and compliance purposes only.

6.5 Data, Privacy & Lead Restrictions
You may not:

Copy, store, sell, transfer, or reuse leads, customer information, or contact data

Use Rivvia data for purposes outside approved sales activities
-
Combine Rivvia data with external lists or databases
-
Retain personal data beyond authorized use or after termination of access
All data access is limited, revocable, and purpose-specific.

6.6 Door-to-Door & In-Person Conduct
When engaging in door-to-door or in-person activity, you agree to:

Comply with all applicable solicitation, trespass, and local ordinances

Respect posted notices, including “No Soliciting” or similar signage
-
Conduct yourself professionally and lawfully at all times

Immediately disengage upon request
Rivvia does not authorize aggressive, deceptive, or coercive conduct.

6.7 No Scraping, Competitive Use, or Exploitation
You may not use the Site or Services to:

Compete with Rivvia

Build or train competing systems or models
-
Extract proprietary workflows, scripts, or methodologies

Analyze the Site for commercial exploitation
6.8 Enforcement, Suspension & Termination
Rivvia reserves the right, in its sole discretion, to:

Restrict, suspend, or terminate access to the Site or Services
-
Disable accounts, tools, or system access
-
Remove content or data
-
Take corrective or remedial action
Such actions may be taken without notice where necessary to protect Rivvia, third parties, or compliance obligations.

6.9 No Waiver; Unauthorized Conduct
Any conduct in violation of this Section is deemed unauthorized and outside the scope of Rivvia’s permission, consent, or control.
Failure by Rivvia to enforce any provision does not constitute a waiver of its rights.
7. AI-Assisted Systems, Automation & Technology Use
Rivvia Sales, LLC may use, deploy, or make available various technology tools, including automated systems, software platforms, and AI-assisted tools, to support recruiting, onboarding, training, communications, scheduling, reporting, compliance, and operational coordination (collectively, “Automated Systems”).

7.1 Purpose & Permitted Use of Automated Systems
Automated Systems are used solely to support administrative, informational, operational, and compliance-related functions, which may include:

Message delivery and routing

Scheduling confirmations and reminders
-
Inquiry intake and response handling
-
Standardized informational messaging
-
Training access and workflow coordination
-
Sales activity tracking and reporting
Automated Systems are intended to facilitate efficiency and consistency, not to replace human judgment or discretion.

7.2 No Independent Decision-Making
You acknowledge and agree that:

Automated Systems do not make independent decisions regarding hiring, placement, compensation, eligibility, discipline, or termination
-
Automated Systems do not evaluate individual performance, suitability, or qualifications
-
Automated Systems do not form contracts, make promises, or bind Rivvia or third parties
All decisions of legal or contractual significance are made by humans or governed by separate written agreements.

7.3 AI as a Communication Tool Only
AI-assisted tools used by Rivvia:

Operate under predefined rules, configurations, and constraints
-
Are subject to human design, oversight, and control
-
Do not override consent, opt-out, suppression, or do-not-contact controls
-
Are used for informational, operational, compliance, and support purposes only
AI tools are treated strictly as communication and workflow aids, not as autonomous agents or decision-makers.

7.4 Communications Compliance & Consent Safeguards
All Automated Systems are designed to operate in alignment with Rivvia’s:

Automated Systems are configured to respect consent requirements, opt-out requests, suppression lists, and carrier rules. Use of automation does not expand the scope of consent or authorize communications otherwise prohibited by law.

7.5 Independent Contractors & Technology Boundaries
Independent contractors:

Are granted limited, revocable access to certain tools or applications solely to facilitate participation

Are not authorized to modify, bypass, or misuse Automated Systems
-
Are not authorized to deploy their own automation, dialing, texting, or AI tools in connection with Rivvia opportunities
Any use of automation outside Rivvia-approved systems is deemed unauthorized and outside the scope of Rivvia’s consent and authorization.

7.6 Data Integrity, Accuracy & Limitations
You acknowledge that:

Automated outputs may rely on user-provided or third-party information
-
Data may be incomplete, delayed, or subject to change
-
Rivvia does not guarantee accuracy, completeness, or real-time updates
Users are responsible for independently verifying information before relying on it.

7.7 No Employment, Agency, or Control Inference
Use of Automated Systems does not:

Create an employment relationship

Establish supervision, control, or direction over independent contractors
-
Limit independent contractor discretion or business independence
Provision of tools does not imply control over the manner or means of work.

7.8 Monitoring, Modification & Suspension
Rivvia reserves the right to:

Modify, update, restrict, or discontinue Automated Systems

Monitor system usage for security, integrity, and compliance purposes only
-
Suspend or revoke access where misuse, abuse, or compliance risk is identified
Such actions may be taken without notice where necessary to protect Rivvia or third parties.

7.9 No Reliance; No Warranty
You agree not to rely exclusively on Automated Systems for decisions of legal, financial, or professional significance.

Automated Systems are provided “as is” and “as available”, without warranties of any kind.
7.10 Reservation of Rights & Defenses
Nothing in this Section:

Expands Rivvia’s liability for automated or AI-assisted communications

Waives Rivvia’s defenses under the TCPA, FCC rules, or applicable law
-
Creates obligations beyond those expressly stated
All rights, remedies, and defenses are expressly reserved.

8. Earnings, Performance & Opportunity Disclaimers
Rivvia Sales, LLC provides recruiting, orientation, training resources, and operational support related to independent contractor sales opportunities. No statements, materials, examples, or communications—whether written, verbal, digital, AI-assisted, or otherwise—shall be construed as guarantees of earnings, income, commissions, sales volume, or success.

8.1 No Earnings Guarantees
Rivvia does not guarantee, represent, or warrant:

Income, commissions, bonuses, or compensation of any kind

Sales volume, close rates, or customer conversion
-
Assignment of territories, routes, or serviceable addresses

Lead availability, exclusivity, or quality
-
Continuation of any opportunity or program
Any opportunity made available through Rivvia is performance-based and subject to multiple factors outside Rivvia’s control.

Does not create expectations of regular work, hours, or pay
Independent contractors are compensated, if at all, solely in accordance with separate agreements with third-party providers or programs, subject to their terms and approval.

8.5 No Reliance; Independent Judgment Required
You acknowledge and agree that:

You are responsible for conducting your own due diligence

Rivvia makes no assurances regarding financial outcomes.

8.6 Prohibited Earnings Representations by Contractors
Independent contractors are not authorized to:

Make promises or assurances regarding income or results

Use Rivvia’s name to promote specific earnings claims
Any such representations are unauthorized, outside the scope of Rivvia’s consent, and may result in corrective action.

Nothing in this Section shall be construed as:

Evidence of employment, agency, or control
All rights, remedies, and defenses are expressly reserved.
9. Third-Party Providers, Brand Partners & Business Relationships
Rivvia Sales, LLC operates as a sales recruiting, training, coordination, and operational support entity. Rivvia is not a service provider, merchant of record, or contracting party for the underlying products or services sold by independent contractors through third-party programs.

9.1 Third-Party Providers & Brand Partners
Rivvia may coordinate with, reference, or facilitate access to sales programs offered by third-party providers, including fiber, telecommunications, internet, and related service brands (“Brand Partners”).
Brand Partners:

Own and control the products and services offered

Determine service availability, pricing, promotions, eligibility, and installation

Contract directly with customers for service delivery and billing
-
Are solely responsible for fulfillment, installation, support, and service quality
Rivvia does not sell, install, bill for, or provide the underlying services.

9.2 Line-of-Sight Business Relationship
Rivvia’s role is limited to maintaining a business-to-business relationship with Brand Partners for the purposes of:

Recruiting and onboarding independent contractor sales representatives

Providing training and operational resources
-
Coordinating access to sales programs and “live” or serviceable areas identified by Brand Partners

Facilitating sales attribution and reporting
Customers who purchase services enter into a separate contractual relationship directly with the Brand Partner, not with Rivvia.

9.3 No Agency, Authority, or Merchant-of-Record Status
Rivvia:

Is not an agent, representative, or authorized signatory of any Brand Partner
-
Is not the merchant of record for any sale
-
Has no authority to set prices, approve customers, guarantee installation, or modify Brand Partner terms
Independent contractors similarly lack authority to bind Rivvia or any Brand Partner.

9.4 Service Availability & Geographic Deployment
Information regarding serviceable addresses, “live” fiber areas, or deployment timelines is provided by Brand Partners and may change without notice.
Rivvia:

Does not guarantee service availability or installation

Does not control infrastructure deployment or construction schedules

Is not responsible for delays, cancellations, or denials of service
9.5 Payments, Billing & Customer Relationships
All payments, billing arrangements, refunds, credits, and service disputes are handled directly between the customer and the Brand Partner.
Rivvia:

Does not collect customer payments
-
Does not process refunds or credits
-
Does not manage customer service accounts
Any customer disputes must be directed to the applicable Brand Partner.

9.6 Referrals, Leads & Attribution
Leads may originate from multiple sources, including:

Independent contractor door-to-door activity
-
Neighbor or community referrals
-
Brand Partner data identifying serviceable areas
A lead, referral, or introduction does not guarantee acceptance, approval, installation, or compensation.
Attribution decisions are governed by Brand Partner rules and reporting systems, not by Rivvia.

9.7 No Warranty or Endorsement of Third Parties
References to Brand Partners or third-party providers do not constitute endorsements, warranties, or guarantees of:

Service quality or performance
-
Pricing, promotions, or terms
-
Customer satisfaction or outcomes
Use of third-party services is at the customer’s sole discretion and risk.

9.8 Limitation of Responsibility
Rivvia is not responsible or liable for:

Acts or omissions of Brand Partners

Service interruptions, outages, or failures
-
Installation delays or denials
-
Customer billing disputes
-
Regulatory or compliance failures of third parties
9.9 Reservation of Rights & Defenses
Nothing in this Section shall be construed as:

Creating an agency, employment, or joint-venture relationship
-
Expanding Rivvia’s liability beyond its limited role
-
Waiving Rivvia’s legal rights or defenses
All rights, remedies, and defenses are expressly reserved.
10. Intellectual Property, Confidentiality & Data Rights
All content, systems, materials, data, and intellectual property made available through the Site or Services are owned by or licensed to Rivvia Sales, LLC and are protected by applicable intellectual property, trade secret, and confidentiality laws.

10.1 Rivvia Intellectual Property
All rights, title, and interest in and to the following (collectively, “Rivvia IP”) are and shall remain the exclusive property of Rivvia or its licensors:

Website content, text, graphics, logos, branding, and design

Recruiting materials, onboarding documents, training content, scripts, and workflows

Sales methodologies, processes, and operational playbooks
-
Software, applications, dashboards, portals, and systems
-
Databases, lead information, attribution logic, and reporting outputs

AI-assisted tools, prompts, configurations, and workflows
-
Any derivatives, modifications, or enhancements thereof
Nothing in these Terms grants you ownership of Rivvia IP.

10.2 Limited, Revocable License
Subject to compliance with these Terms, Rivvia grants you a limited, non-exclusive, non-transferable, revocable license to access and use Rivvia IP solely for authorized participation in Rivvia-facilitated programs.
This license:

Does not permit copying, redistribution, or resale

Terminates automatically upon suspension or termination of access
-
May be revoked at any time, with or without cause
10.3 Confidential Information
You acknowledge that, through your interaction with Rivvia, you may receive access to confidential or proprietary information, including but not limited to:

Lead data, customer information, and contact details
-
Brand Partner deployment data and “live area” information
-
Sales performance data, attribution reports, and analytics
-
Training materials, scripts, and internal documentation
-
System functionality, configurations, and security practices
Such information (“Confidential Information”) is provided solely for authorized use and must be kept strictly confidential.

10.4 Restrictions on Use & Disclosure
You may not, directly or indirectly:

Copy, store, download, sell, transfer, share, or disclose Confidential Information
-
Use Rivvia data or materials for non-authorized or competitive purposes
-
Combine Rivvia data with external lists or databases
-
Retain data after termination of access
-
Allow third parties to access Rivvia systems or materials
All Confidential Information must be returned or destroyed upon request or termination.

10.5 Independent Contractor & Post-Termination Obligations
Independent contractors acknowledge that:

Access to Rivvia IP and Confidential Information is temporary and conditional
-
Obligations under this Section survive termination of access or relationship
-
Unauthorized post-termination use constitutes misappropriation
Rivvia reserves the right to pursue injunctive relief and damages for violations.

10.6 No License to Brand Partner IP
Rivvia does not grant any license to intellectual property owned by Brand Partners or third parties. Use of third-party trademarks, logos, or materials is subject to separate authorization and restrictions.
10.7 AI & Data Usage Restrictions
You may not:

Use Rivvia content, data, or systems to train external AI or machine-learning models
-
Extract prompts, workflows, or configurations for reuse
-
Input Confidential Information into non-approved AI tools
Any such use is strictly prohibited.

10.8 Monitoring & Enforcement
Rivvia reserves the right to monitor access and usage for security, integrity, and compliance purposes only and to take immediate action to protect its IP and data.

10.9 Reservation of Rights
All rights not expressly granted are reserved by Rivvia. Nothing in this Section:

Transfers ownership

Creates implied licenses
-
Waives Rivvia’s legal remedies
11. Disclaimer of Warranties
The Site and services are provided “as is” and “as available.”
Rivvia makes no warranties, express or implied, including:

Merchantability

Fitness for a particular purpose

Availability, accuracy, or error-free operation
12. Limitation of Liability
To the maximum extent permitted by law, Rivvia Sales, LLC shall not be liable for:

Indirect, incidental, special, or consequential damages

Lost profits, data, or opportunities

Reliance on Site content or communications
Total liability, if any, shall not exceed $100 USD.
13. Indemnification
You agree to indemnify and hold harmless Rivvia Sales, LLC from any claims, losses, damages, liabilities, or expenses arising from:

14. Privacy & Data Use
