This Recruiting Policy & Independent Contractor Disclosure (“Disclosure”) is issued by Rivvia Sales, LLC (“Rivvia,” “Company,” “we,” “us,” or “our”) to provide clear, complete, and transparent information regarding the nature of sales opportunities facilitated by Rivvia. This Disclosure is intended to ensure that all individuals who inquire about, apply for, onboard into, train for, or participate in any Rivvia-facilitated sales activity fully understand the legal classification, compensation structure, expectations, limitations, and risks associated with the opportunity before making any decision to proceed.

This document applies to all applicants, prospects, independent contractors, and participants, regardless of how they are recruited or engaged, including through:

  • Online job postings or applications

  • Website submissions or referrals

  • Door-to-door recruiting or in-person discussions

  • Orientation sessions, training calls, or informational meetings

  • Digital communications, SMS, email, or AI-assisted messaging

 

Purpose and Intent of This Disclosure

The purpose of this Disclosure is to:

  • Clearly define the opportunity as a 1099 independent contractor sales role, not employment

  • Explain that compensation is commission-based only, with no guaranteed income

  • Clarify that the relationship is at-will and non-exclusive

  • Confirm that this opportunity is not network marketing, not multi-level marketing (MLM), and not a pyramid scheme

  • Prevent misunderstanding, reliance, or assumptions inconsistent with the actual structure of the opportunity

  • Satisfy applicable labor, consumer protection, and regulatory disclosure expectations

Contractor-Centric Nature of the Opportunity

Rivvia Sales operates as a sales recruiting, training, and operational support organization that facilitates independent contractor participation in third-party fiber, telecommunications, and related direct-to-home sales programs.

 

Participation in any Rivvia-facilitated opportunity:

  • Is entirely voluntary

  • Involves independent business activity, not employment

  • Requires individual effort, professionalism, and compliance

  • Carries inherent financial and performance risk, as with any commission-based sales role

 

Individuals are encouraged to carefully review this Disclosure, ask questions, and conduct their own due diligence before applying or participating.

What This Disclosure Is Not

This Disclosure is not:

  • An offer of employment

  • A contract guaranteeing work, income, or territory

  • A franchise offering

  • A business opportunity requiring a purchase or buy-in

  • A promise of success, earnings, or career advancement

 

No statement by Rivvia, whether written, verbal, digital, or AI-assisted, should be interpreted as contradicting the disclosures contained herein.

Acknowledgment & Understanding

 

By applying, onboarding, participating in training, or engaging in any Rivvia-facilitated sales activity, individuals acknowledge that they:

  • Have been provided this Disclosure before participating

  • Understand the independent contractor (1099) classification

  • Understand there is no guaranteed income, schedule, or territory

  • Understand the opportunity is not MLM or network marketing

  • Accept that participation is at-will and performance-based

Failure to read or understand this Disclosure does not alter its applicability.

2. Nature of the Opportunity (What This Is — and What This Is Not)

Rivvia Sales, LLC recruits individuals to engage in direct-to-home (door-to-door) sales activities for third-party fiber internet and telecommunications service providers in markets where service has been activated or is available (“active markets”).

​

This opportunity involves in-person customer engagement and the promotion of third-party services to residential consumers. Rivvia operates as a sales recruiting, training, and operational support organization and does not itself provide the underlying internet or telecommunications services.

What This Opportunity IS

This opportunity is:

  • A direct sales role focused on one-to-one, in-person customer interactions

  • Performance-based, with compensation earned only through completed and approved sales

  • Conducted primarily through door-to-door canvassing in active service areas

  • Dependent on individual effort, availability, professionalism, and compliance

  • Structured as a 1099 independent contractor sales opportunity, not employment

  • Intended for individuals who are comfortable with walking neighborhoods, standing for extended periods, working outdoors, and engaging directly with consumers

Independent Contractor Freedom

  • You are not required to follow a fixed schedule or minimum hours

  • You are not supervised as an employee

  • You retain control over your individual business activity, subject only to applicable laws and provider rules

3. Independent Contractor (1099) Classification

All sales representatives engaged through Rivvia Sales, LLC are classified as independent contractors, not employees.

​

By applying, onboarding, training, or engaging in sales activity, you acknowledge and agree that you are operating as a 1099 independent contractor and that no employment relationship is created or implied.

As an independent contractor, you expressly understand and agree that:

  • You are not an employee of Rivvia Sales

  • You are not entitled to employee wages, salary, minimum wage, overtime, paid time off, unemployment insurance, workers’ compensation, health insurance, retirement benefits, or other employee benefits, except where required by law

  • Rivvia Sales does not withhold federal, state, or local taxes from commissions or other compensation

  • You are solely responsible for:

    • Federal, state, and local income taxes

    • Self-employment taxes

    • Business registrations, licenses, and permits

    • Required filings, reporting, and legal compliance

    • ​

Nothing in Rivvia’s recruiting materials, orientation sessions, training resources, scripts, mentorship, tools, communications, or operational guidance shall be interpreted as creating an employment relationship, agency relationship, or entitlement to employee protections.

4. At-Will, Non-Exclusive Contractor Relationship

The independent contractor relationship with Rivvia Sales is at-will.

This means that:

  • Either you or Rivvia Sales may terminate the relationship at any time, with or without cause, subject to applicable law and any written contractual terms

  • There is no guarantee of continued participation, work availability, territory, assignments, or opportunity

Unless expressly stated in a separate written agreement:

  • The relationship is non-exclusive

  • Independent contractors are free to pursue other business opportunities, including other sales or independent contractor roles

At-will status does not guarantee commissions for incomplete, canceled, non-compliant, or unapproved sales.

5. No Purchase Required; No Buy-In

There is no purchase required to apply, onboard, or participate in any Rivvia-facilitated opportunity.

Specifically:

  • No starter kits are required

  • No product purchases are required

  • No inventory is required

  • No franchise, membership, enrollment, or participation fees are required to earn commissions

Participation is not contingent on purchasing goods or services from Rivvia or any third party.

Any tools, equipment, or expenses incurred by an independent contractor are typical of operating an independent business and are the responsibility of the contractor, unless expressly agreed to in writing. Such expenses may include transportation, mobile devices, data plans, clothing, or permits required by local law.

6. Compensation Structure & Earnings Disclosure

Compensation for independent contractors engaged through Rivvia Sales is commission-based only.

No salary, hourly wages, draw, stipend, advance, or minimum compensation is offered or implied. Commissions are earned solely based on individual sales performance and are contingent upon the successful completion of all required steps.

Independent contractors expressly acknowledge and understand that:

  • There is no guaranteed income of any kind

  • Compensation varies significantly based on:

    • Individual effort, skill, consistency, and availability

    • Market conditions and geographic deployment

    • Provider eligibility rules and approval processes

    • Consumer demand, creditworthiness, and installation feasibility

  • Any earnings statements, illustrations, averages, ranges, or examples:

    • Are provided for informational purposes only

    • Reflect hypothetical or historical outcomes

    • Do not constitute guarantees or promises of results

 

When Commissions Are Earned

Commissions are earned only after all of the following conditions are satisfied:

  1. A valid customer order is accurately submitted

  2. The order is approved by the applicable fiber or telecommunications provider

  3. Installation of service is completed and confirmed

  4. All provider, legal, and Rivvia compliance requirements are fully met

No commission is earned for leads, inquiries, appointments, pending orders, or uninstalled services unless expressly stated in writing.

Adjustments, Chargebacks, and Clawbacks

Independent contractors acknowledge that:

  • Customer cancellations, service disconnections, non-payment, or fraud

  • Provider chargebacks, reversals, or audit findings

  • Compliance violations or misrepresentations

may result in reduction, delay, reversal, or forfeiture of commissions, to the maximum extent permitted by law.

7. No Earnings, Schedule, or Territory Guarantees

Rivvia Sales makes no representations, warranties, or guarantees regarding:

  • Any level of income or earnings

  • Any number of sales, installs, or completed orders

  • Any specific schedule, hours, or workload

  • Any territory size, exclusivity, duration, or availability

  • Any continuity or volume of opportunities

Statements using terms such as “potential,” “average,” “top,” “high-performing,” or similar descriptors are descriptive only and must not be interpreted as assurances of income or performance.

Past performance by any individual or group does not predict or guarantee future results.

Independent contractors participate with the understanding that financial success is uncertain, performance-based, and dependent on factors largely outside Rivvia’s control.

8. Training & Support Disclosure

Rivvia Sales may provide:

  • Orientation and training resources

  • Sales scripts and compliance guidance

  • Mentorship or ride-along opportunities

Training is provided for informational and support purposes only and does not create an employment relationship, wage entitlement, or guaranteed success.

9. Compliance & Conduct Requirements

All representatives must comply with:

  • Applicable federal, state, and local laws

  • Provider rules and branding requirements

  • Door-to-door solicitation laws and permit requirements

  • Consumer protection regulations

  • Rivvia Sales policies and codes of conduct

Misrepresentation, deceptive practices, pressure tactics, or non-compliant behavior may result in immediate termination and forfeiture of commissions where legally permitted.

10. Territory & Lead Disclosure

Territories and leads, when provided:

  • Are not exclusive unless expressly stated in writing

  • May change based on provider availability and business needs

  • Do not guarantee customer interest, conversion, or installs

Rivvia Sales reserves the right to modify or reassign territories at any time.

11. Expenses & Equipment

Independent contractors are responsible for their own expenses, including but not limited to:

  • Transportation

  • Mobile phone and data plans

  • Clothing and footwear

  • Permits or licenses required by local law

Rivvia Sales does not reimburse expenses unless expressly agreed to in writing.

12. Termination of Relationship

The independent contractor relationship may be terminated by either party at any time, with or without cause, subject to applicable law and contractual terms.

Unpaid commissions may be forfeited in cases of fraud, misconduct, or provider chargebacks.

13. No Exclusivity

Unless otherwise stated in writing, contractors are not required to work exclusively for Rivvia Sales. However, contractors may not represent competing providers in the same territory where conflicts exist or where prohibited by agreement.

14. No Offer of Employment

Submitting an application, participating in training, or engaging in sales activity does not constitute an offer of employment.

Rivvia Sales reserves the right to accept or decline applicants at its sole discretion.

15. Acknowledgment Requirement

Applicants may be required to acknowledge that they:

  • Understand the independent contractor (1099) classification

  • Understand there is no guaranteed income

  • Understand compensation is commission-based

  • Agree to comply with all policies and applicable laws

16. Policy Updates

Rivvia Sales reserves the right to modify this Recruiting Policy and Job Disclosure at any time to reflect changes in law, provider requirements, or business operations. The most current version published on the website shall govern.
